Terms of Service

These Terms of Service (the "Terms") govern your access to and use of JobMax.ai (the "Service"), operated by Alex Rabinovich and Max Glubochansky (together, "JobMax.ai", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

JobMax.ai is a software-as-a-service platform for contractors and home-services businesses. You upload photos of completed jobs; the Service uses artificial intelligence to generate captions, hashtags, and posting schedules, and — after your explicit approval — publishes that content to social media accounts you connect (currently Meta platforms and TikTok).

Key characteristics of the Service:

Human approval required. The Service never publishes content automatically. Every post must be explicitly approved by you before it is dispatched to any social platform.
Your social accounts, your ad spend. The Service is not a payment intermediary for advertising. If you use ad-budget features, you connect your own Meta or TikTok Business Manager ad account, and the Service only sets budget parameters (such as lifetime budget or spend caps) on those accounts on your instruction. All ad spend flows directly between you and the social platform under that platform's own terms.
Cost visibility. Any action within the Service that incurs a charge or sets an ad budget will show you the amount before you confirm it.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service.
You must provide accurate registration information (including a valid email address) and keep it current.
You are responsible for safeguarding your account credentials and for all activity under your account. Enable multi-factor authentication where offered.
The Service is intended for business use by contractors and home-services businesses. It is not directed to children.

3. Subscriptions and Billing

The Service is offered on subscription tiers. As of the date of this draft, the tiers are:

Current pricing and tier limits are shown in the Service at the time of purchase; in the event of a conflict, the in-product pricing at checkout controls.
Payments are processed by Stripe, Inc. We do not store your card number or other full payment credentials; Stripe handles payment data under its own terms and privacy policy.
Subscriptions renew automatically each billing cycle until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.
Tier limits (posts, locations, video credits, ad features) are enforced by the Service. We may change tiers, features, or pricing prospectively with notice; changes apply from your next billing cycle.
If payment fails, we may downgrade or suspend paid features after a grace period.

4. Your Content

"Your Content" means photos, business and location details, captions you write or edit, and any other material you submit to the Service.
You retain all ownership rights in Your Content.
You grant us a limited, worldwide, non-exclusive license to host, store, reproduce, process, and transmit Your Content solely to operate and improve the Service — including processing photos through our AI pipeline, storing media in our cloud infrastructure, and transmitting approved posts to the social platforms you connect.
You represent that you have all rights necessary to upload Your Content, including any rights of people identifiable in photos and any permissions required for job-site imagery.
Deleting content or closing your account ends this license except for copies retained in routine backups or as required by law.

5. AI-Generated Content

The Service uses third-party AI models (accessed through our internal gateway) to generate captions, hashtags, and scheduling suggestions.
AI output may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and approving all content before it is published. Approval is your representation that the content is accurate and lawful for your business.
We do not guarantee any marketing outcome, engagement level, or business result from generated content.

6. Connected Social Accounts

Connecting a Meta or TikTok account authorizes the Service to publish approved content and, where enabled on your tier, to set ad budget parameters on your behalf.
Your use of those platforms remains subject to their own terms. We are not responsible for actions those platforms take against your accounts (including content removal or account restrictions).
OAuth tokens for connected accounts are stored encrypted. You may disconnect an account at any time, which revokes the Service's ability to publish to it.

7. Acceptable Use

You agree not to:

upload content that is unlawful, infringing, deceptive, or harassing, or that violates the policies of the social platforms you publish to;
upload photos of people without any consent legally required to publish them;
misrepresent your identity or business, or publish content on behalf of a business you are not authorized to represent;
probe, disrupt, or circumvent the security or rate limits of the Service, or attempt to access another customer's data;
resell or provide the Service to third parties as a service bureau without our written agreement;
use the Service to send spam or engage in coordinated inauthentic behavior on social platforms.

We may suspend or terminate accounts that violate this section.

8. Termination

You may stop using the Service and cancel your subscription at any time.
We may suspend or terminate your access for material breach of these Terms, for non-payment, or where required by law. Where practical, we will give notice and an opportunity to cure.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including Sections 4–5 and 9–12) survive termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR EFFECTIVE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You will indemnify and hold us harmless from claims arising out of Your Content, your use of connected social accounts, or your breach of these Terms, including reasonable attorneys' fees.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Subject to any mandatory consumer protections of your place of residence, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service.

13. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide notice (for example, by email or in-product notice) before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
